Job Description
A non-profit research services organization in Boulder, Colorado is looking to add an Associate Counsel to their team! This individual will serve as a key legal advisor across the organization, providing guidance on contracts, intellectual property, privacy, and compliance-related matters. Day to day, they will draft, review, and negotiate a wide range of agreements including vendor contracts, sponsored research agreements, NDAs, and provide technology transfer support under the direct supervision of the Chief Legal Officer or Senior Associate Counsel. They will act as a subject matter expert on intellectual property (trademarks, patents, and copyrights, etc.), as well as data protection, while also supporting privacy and data security initiatives. This role will also develop, interpret, and implement legal policies and procedures, as well as advise on research compliance, ethics, and conflict of interest matters. The position will support litigation efforts as needed. Additionally, they will collaborate cross-functionally with leadership, IT, and business units, provide training on legal best practices, and help drive overall legal strategy and risk management efforts across the organization. This position follows a hybrid schedule with at least 3 days in the office and offers a competitive base salary of $150,000-$170,000k. If this sounds like the role for you, please apply today!

Required Skills & Experience
Juris Doctor (JD) from an accredited law school
Licensed to practice law in Colorado (or ability to obtain within 3 months)
5+ years of experience in:
○ Contract drafting, review, and negotiation
○ Sponsored research agreements and/or technology transfer
○ Negotiating IP terms and/or comfort applying Intellectual property (IP) law
Practical knowledge of privacy/data protection laws and familiarity with privacy audits/programs
Experience advising on legal risk, compliance, and drafting/enforcement of policies and procedures
Ability to work independently and manage multiple priorities
Strong ethics, business acumen and legal judgment
Nice to Have Skills & Experience
Bachelor's degree or other degree in a scientific, technical or business field
Experience within a research institution, university, or federally funded organization
Background supporting technology transfer function or work in innovation-focused environments
Experience building or supporting privacy programs
Familiarity with federal funding compliance (e.g., Bayh-Dole Act)
Experience with litigation support
Exposure to nonprofit research and/or compliance environments
